Job Description

Our partners at ICON have an immediate need for a Paralegal I for a 9 month contract position paying $25-29/hour in Houston, Texas 77046 (Kirby/Greenway area).


Job Description:

  • Prepare foreign country registrations and applications for the Invesco Funds.
  • Review and work under attorney supervision on legal-related operational items such as investment adviser letters, eligibility requests, broker-dealer trade-related certifications, stock powers, corporate resolutions, authorized signatories, etc.
  • Prepare memoranda, reports, corporate resolutions and consents for presentation to Invesco.
  • Fund Boards of Directors/Trustees as well as the Invesco subsidiary Boards of Directors.
  • Coordination of 15(c) material for annual Board approval.
  • Review board meeting minutes, verify corporate actions have necessary approvals, appropriate documents are completed, and required documents are filed with the regulatory agencies.
  • Prepare and coordinate Shareholder meetings for mutual funds. Enter minutes from Board of Directors/Trustees meetings into Secretariat computer system database (i.e., scans, OCR's indexes).
  • Maintain listing of Officers and Corporate information in database, produce reports from Secretariat as needed.
  • Maintain company information into the BluePrint system database (i.e. transfer agent information, registered agent data organization) for the Invesco Subsidiaries.
  • Prepare forms for class action suits for the funds (i.e., running reports, confirming trades and collecting specific information). Process and troubleshoots checks and stock certificates based on any recoveries by the funds.
  • Monitor and review all activities relating to Blue Sky to ensure that filings are completed in a timely manner by Clear Sky. Research and maintain corporate records.
  • Request, research and obtain information regarding corporate seals, cusip requests and stock certificates.
  • Review Invesco Fund semiannual and quarterly reports and coordinate with attorneys.
  • Assist with gathering and organizing documents related to subpoenas and litigation requests.

Work Experience / Knowledge:

  • A minimum of 2 years' experience in an administrative support role in a professional office environment is required
  • 2-4 years financial services industry or corporate legal experience required.
  • Interpersonal skills necessary to communicate effectively with a variety of individuals are required.
  • Must show the ability to organize documents/information, use prioritization skills and concentrate on detailed information in a fast-paced work environment.
  • Must demonstrate competence in filing systems and the operations of basic office equipment such as computers, copiers and fax machines.
  • Must also demonstrate effective grammar, spelling and proofreading skills.
  • Must also demonstrate flexibility, enthusiasm and a willingness to learn while ensuring that all deadlines are met.
  • The ability to cooperate in a team environment is critical.
  • Must demonstrate a strong professional work ethic in handling private corporate matters in a confidential manner.


Formal Education:

  • College degree or relative experience; paralegal certificate preferred.
